Terms of Service

1. Agreement

By using FRN Watch, you agree to these terms. If you don't agree, please don't use the service.

We may update these terms from time to time. If we make significant changes, we'll email you. Your continued use after changes means you accept them.

2. What FRN Watch Does

FRN Watch automatically checks the FCA Register daily for firms you're monitoring and sends you alerts when something changes. That's it.

Important things to understand:

• We get data from the FCA's public register. If their data is wrong or delayed, our alerts will be too.
• This is a monitoring tool, not legal or compliance advice.
• You still need to do your own due diligence and compliance checks.
• Always verify critical information directly with the FCA Register.

3. Your Account

You're responsible for:

• Providing accurate information when you sign up
• Keeping your password secure
• All activity that happens on your account
• Letting us know if your account is compromised

We may suspend or close accounts that violate these terms or are used for illegal purposes.

4. Acceptable Use

You agree to:

• Use FRN Watch only for legitimate compliance monitoring
• Not try to hack, break, or reverse engineer the service
• Not use bots or scrapers without permission
• Not harass or stalk people using the monitoring features
• Not resell or commercialize the service
• Follow all applicable laws

5. Payment and Subscriptions

Billing

FRN Watch is a paid subscription service. You'll be charged monthly or annually (depending on your plan) until you cancel. Prices are shown on the website and don't include VAT (if applicable).

Cancellation

You can cancel anytime from your account settings. You'll keep access until the end of your current billing period. No refunds for partial months/years.

Failed Payments

If your payment fails, we'll email you. If it's not fixed within a reasonable time, your access will be suspended.

Price Changes

We may change prices with at least 30 days' notice. If you don't like the new price, you can cancel before it takes effect.

6. Service Availability

We work hard to keep FRN Watch running smoothly, but we can't guarantee 100% uptime. The service may occasionally be unavailable for maintenance, updates, or due to issues beyond our control (like AWS outages or FCA website problems).

7. Intellectual Property

FRN Watch owns the code, design, and brand. You get a license to use it while you're a paying customer, but you don't own it or have the right to copy, modify, or resell it.

The FCA Register data is from the Financial Conduct Authority and is public information (Open Government Licence).

8. Disclaimers and Limitations

No Warranty

FRN Watch is provided "as is". We don't guarantee that:

• The service will always be available or error-free
• The data from the FCA will be accurate or up-to-date
• Alerts will be delivered instantly or at all
• The service will meet your specific needs

Not Professional Advice

FRN Watch is a monitoring tool. It is not legal, regulatory, compliance, or financial advice. Don't rely on it as a substitute for professional advice or your own due diligence.

Limited Liability

To the maximum extent permitted by law:

• We're not liable for any indirect or consequential losses (like lost profits or missed opportunities)
• Our total liability to you is limited to what you've paid us in the last 12 months
• We're not liable for problems caused by FCA data errors, delays in alerts, service outages, or third-party service failures

Note: Nothing in these terms excludes liability for death/personal injury caused by negligence, fraud, or anything else that can't be excluded by UK law.

9. Your Liability

If you break these terms and it causes us problems (legal claims, fines, etc.), you agree to cover our losses and legal costs.

10. Termination

Either of us can end this agreement:

• You: Cancel anytime (no refunds for unused time)
• Us: Can close your account if you breach these terms or use the service unlawfully

When your account closes, you lose access immediately. We'll keep some data as explained in the Privacy Policy (mainly for tax compliance).

11. Disputes and Governing Law

These terms are governed by the laws of England and Wales. If we have a dispute that can't be resolved amicably, the courts of England and Wales have jurisdiction.

If you're a consumer, you may also have rights to bring proceedings in your local courts.

12. General

• If part of these terms is found to be unenforceable, the rest still applies
• If we don't enforce a term immediately, that doesn't mean we've waived the right to enforce it later
• You can't transfer these terms to someone else
• These terms (plus the Privacy Policy) are the entire agreement between us
